CARF (Brazil’s Administrative Council of Tax Appeals) issued a ruling regarding the application of the Lei do Bem, which governs the parameters for utilizing technological innovation tax incentives in Brazil.
The Requirement of Validation by the MCTI
According to the council, corporate expenses dedicated to technological innovation projects cannot be deducted from actual profit (lucro real) if they are not formally validated by the MCTI (Brazil’s Ministry of Science, Technology and Innovation).
Deductions from actual profit are a central component in structuring projects for investing companies. However, the decision by CARF reinforces that the tax benefit is strictly conditional upon the scrutiny and approval of the competent ministerial authority.
Limits of Opinions from Affiliated Entities
The council’s ruling also addresses the authority to validate projects. CARF established that a favorable opinion issued by an affiliated entity is not sufficient to override a ministerial rejection.
This means that, even if other associated entities or agencies issue positive evaluations of the innovation project, the final authority for tax deduction purposes remains the direct approval of the MCTI.
Practical Considerations
For companies and investors structuring technological innovation projects aimed at taking advantage of tax incentives, alignment with MCTI requirements is essential. The tax compliance of the operation depends on formal ministerial validation, and clearance from secondary agencies is not sufficient to guarantee expense deductions from actual profit.
