CARF rejects treating Real Estate Investment Funds as corporate entities

The Administrative Council of Tax Appeals (CARF, Brazil’s federal administrative tax court) issued a significant decision for the financial market and investors. The tribunal upheld the position that rejects treating Real Estate Investment Funds (FIIs) as corporate legal entities.

The tax authority’s taxation attempt

The central dispute concerned the legal nature of the funds. The National Treasury argued that FIIs should be treated as corporations (legal entities). The objective of this reclassification was to enable the collection of two specific taxes on fund operations:

  • IRPJ: Corporate Income Tax.
  • CSLL: Social Contribution on Net Profit.

Preservation of tax exemption

In rejecting the National Treasury’s claim, CARF confirmed that Real Estate Investment Funds possess a distinct legal structure that is not equivalent to a business corporation. Consequently, the earnings generated by these funds retain their original tax exemption.

Upholding this understanding is an important development for fund managers and investors, including foreign capital, as it reinforces predictability and legal certainty regarding the taxation of FIIs in Brazil.
