STJ Rules That ICMS-Difal Is Excluded from the PIS/Cofins Tax Base

The Superior Court of Justice (STJ – Brazil’s highest appellate court for non-constitutional matters) issued a relevant decision for companies engaged in interstate transactions, particularly across the retail and e-commerce sectors. The court established that the ICMS Rate Differential (ICMS-Difal) does not form part of the calculation base for PIS and Cofins social contributions.

Context of the Decision

To understand the ruling, one must look at the judicial background of this issue in Brazil. Previously, the STF (Brazil’s Supreme Federal Court) had already established the precedent that the Value-Added Tax on Goods and Services (ICMS) must not be included in the calculation base of PIS and Cofins. The core reasoning is that the amount collected as ICMS does not represent company revenue or turnover, but rather an amount merely passed through to the state.

Extension to ICMS-Difal

ICMS-Difal is a mechanism used to balance tax revenues among Brazilian states in interstate transactions by charging the difference between the internal tax rate of the destination state and the interstate rate. In its recent review, the STJ concluded that the exact same rationale established by the STF for standard ICMS applies directly to Difal.

As a result, the court consolidated the view that the portion corresponding to the tax rate differential likewise does not fall under the concept of gross revenue. Consequently, this amount cannot be used to inflate the base on which PIS and Cofins contributions are calculated.

Impact on Business Operations

The ruling provides greater legal certainty and tax consistency for businesses selling across state lines. By excluding PIS and Cofins levies on ICMS-Difal, the court prevents an overbroad interpretation of the tax calculation base, offering greater predictability for structuring interstate commercial operations.
