  • Tax Reform and Foreign Trade: Perspectives

Tax Reform and Foreign Trade: Perspectives

The debate surrounding tax reform in Brazil raises fundamental questions for the foreign trade sector. As highlighted in a recent publication by legal portal Consultor Jurídico, the relationship between fiscal changes and international operations is marked by a transition that demands careful attention from companies and foreign investors.

    The adaptation period

The initial phase of any profound overhaul in the tax system is frequently seen as a period of turbulence or “storm.” For foreign trade, this means companies will need to dedicate time and resources to understand the new landscape. Adaptation involves reviewing internal procedures and adjusting to the new guidelines that will govern imports and exports.

During this transition, it is natural for the market to face temporary uncertainties. The shift in tax paradigms requires executives and managers to closely monitor the consolidation of rules to ensure compliance in their cross-border operations.

    Long-term perspectives

Despite initial challenges, the general expectation is that the reform will lead to a more favorable business environment, referred to as the “calm” that follows the transition. The purpose of restructuring on this scale is to streamline the system, which can directly benefit international trade flows in the long run.

For foreign investors and companies operating in Brazil, overcoming the adaptation phase has the potential to provide greater clarity and predictability. A consolidated system tends to facilitate planning for foreign trade operations, mitigating operational bottlenecks.

    Practical considerations

The current moment requires continuous monitoring. Companies should stay informed about the implementation stages of the tax reform to anticipate necessary adjustments in their supply chains and international business models.

  • Brazil’s AGU Urges Google to Remove AI-Generated Doctors from YouTube

Brazil’s AGU Urges Google to Remove AI-Generated Doctors from YouTube

The rise of artificial intelligence (AI) tools has created new challenges for the governance of digital platforms. Recently, a Brazilian federal task force identified the use of AI on YouTube to simulate healthcare professionals and spread false information, prompting direct action against Google by the AGU (Brazil’s Office of the Attorney General).

Government Action and the Use of Avatars

The government identified 97 profiles on the video platform using human-like avatars to impersonate doctors or specialists. According to the Ministry of Health, these profiles assign fictional professional qualifications to the avatars and use alarmist language. The goal is to lend credibility to promises of cures and treatments without any scientific backing.

The mapping was conducted by the Saúde com Ciência program, which monitors digital disinformation. The investigation found that much of this content is targeted at the elderly. The fake professionals use the appearance of medical authority to induce users to purchase products, paid services, and e-books.

Notification and Requirements for the Platform

The AGU notified Google, YouTube’s parent company, demanding action within 72 hours. The notification presents two main alternatives for the platform:

    • Remove the content identified by the task force; or
    • Implement labeling and contextual measures that explicitly disclose the artificial nature of the characters, warning users about health risks.

In addition, the government requested that YouTube evaluate the other channels listed in the report against its own community guidelines on health disinformation and synthetic content. The platform was also instructed to adopt preventive measures against the spread of such material. When contacted, Google’s press office stated it would not comment on the matter.

    The Digital Enforcement Landscape

The task force involved in this case brings together multiple federal agencies, including the Ministry of Health, the AGU, the Social Communication Secretariat of the Presidency (Secom), the Ministry of Justice and Public Security (MJSP), and the Ministry of Science and Technology (MCTI). This joint initiative demonstrates coordinated government enforcement to monitor digital environments.

Pressure on technology companies extends beyond this episode. Reports also note that the AGU is currently suing the platform Discord, seeking R$ 500 million in collective moral damages, highlighting the state’s active litigation posture toward internet application providers.

    Practical Outlook for Businesses

For executives, investors, and managers of digital platforms operating in Brazil, this landscape requires close attention to internal moderation policies. Mandatory labeling for AI-generated synthetic content and prompt responses to federal notifications are becoming core components of corporate governance and legal risk mitigation in the country.

    参与本次行动的专案组由多个巴西联邦机构组成,包括卫生部、AGU、Secom(巴西总统府社会传播秘书处)、MJSP(巴西司法与公共安全部)以及MCTI(巴西科技创新部)。

  • End of Advance ITCMD Tax Requirement in Extrajudicial Probate

End of Advance ITCMD Tax Requirement in Extrajudicial Probate

The National Council of Justice (CNJ, the oversight body of the Brazilian judiciary) published a new resolution altering the framework for extrajudicial probate in Brazil. Moving forward, the Estate and Gift Tax (ITCMD, a state-level transfer tax) no longer needs to be paid in advance to execute a public deed of estate division.

Extrajudicial probate is an administrative procedure conducted directly at a notary office (Cartório de Notas) without court litigation. It allows the division of assets left by a deceased person, provided that all heirs agree on terms and are assisted by an attorney or public defender.

What changes under the new resolution

Before this change, the public deed of probate and partition could only be finalized if heirs provided proof of prior ITCMD payment to the state tax authority. The new measure addresses a petition by the Federal Council of the Notarial College of Brazil (CNB/CF) and amends Article 15 of CNJ Resolution No. 35/2007, removing this prior barrier.

With this update, the attending notary must record in the deed that the parties are aware of their tax liabilities. If the tax has not been paid upon execution, the notary office will notify the relevant State Revenue Department within five days, or as prescribed by applicable state tax legislation.

Focus on lack of immediate liquidity and sector growth

The advance payment requirement often created an obstacle for families whose inheritance consisted primarily of illiquid assets, such as real estate, without immediate cash available to settle the tax. This flexibility allows estate succession to proceed and be formalized, preventing delays caused by temporary liquidity shortages.

The removal of this barrier impacts a procedure that has seen significant expansion. According to data from the CNB/CF, between 2007—when Brazilian law first authorized out-of-court probate—and July 2026, 3,114,091 extrajudicial deeds were executed nationwide. The annual volume surged from 38,467 acts in the first year to 261,602 in 2025, an increase of approximately 580%. The procedure can be requested at any notary office, regardless of where the deceased passed away, and can be completed in person or online via the e-Notariado platform.

Attention to state laws and real estate registration

Although the CNJ resolution simplifies executing the deed, it does not create a tax exemption, reduction, or waiver. ITCMD falls under state jurisdiction, meaning each Brazilian state establishes its own rules regarding assessment, asset valuation, deadlines, and payment procedures. State tax authorities will need to adjust their procedures to the new framework.

Legal specialists from the Brazilian Bar Association (OAB) highlight that the rule does not set a uniform national due date for the tax. State statutory deadlines remain active, and late payments may trigger fines, interest, and other penalties provided under local law.

Furthermore, the actual transfer of ownership for certain assets may still require tax clearance at subsequent stages. In Rio de Janeiro, for instance, the Magistracy Council of the Rio de Janeiro State Court of Justice (TJRJ) has held, in proceeding 0214180-63.2022.8.19.0001, that proof of ITCMD payment may be required to register real estate transfers arising from succession. This requirement rests on Article 289 of the Public Records Law, Article 30, item XI, of Law No. 8,935/94, and local judicial administrative rules.

    Final considerations

Waiving advance ITCMD payment provides greater flexibility in managing wealth succession, allowing families to formalize asset division without being halted by liquidity constraints. Nonetheless, financial planning for tax settlement and subsequent asset registration remains essential, as the underlying tax liability remains unchanged.

  • STJ Rules That CPRB Is Included in PIS and Cofins Tax Bases

    STJ Decision on Federal Taxes

The STJ (Brazil’s Superior Court of Justice) rendered a decision impacting corporate tax compliance. The court ruled that the Social Security Contribution on Gross Revenue (CPRB) forms part of the calculation base for PIS and Cofins federal taxes.

The ruling clarifies an important issue regarding the composition of the tax base for these federal social contributions levied on corporate gross revenues.

    The Impact of Repetitive Appeals

The case was decided under the repetitive appeals framework (recurso repetitivo). In the Brazilian legal system, when a matter is adjudicated under this procedure by the STJ, the decision sets a binding precedent. This means lower courts must apply the superior court’s standard to all lawsuits involving the same controversy.

For the business environment, rulings under the repetitive appeal framework provide legal certainty. The determination that CPRB is included in the PIS and Cofins calculation base standardizes interpretation and guides market practices on tax payments.

    Corporate Alignment

With this legal thesis established by the STJ, companies must observe the inclusion of CPRB within the calculation base of PIS and Cofins in their tax assessments. Monitoring superior court precedents is an essential component of corporate governance and tax management.
