STJ Rules on Income Tax Incidence in Real Estate Fund Operations

The Precedent Management Department of the Superior Court of Justice (STJ, Brazil’s highest appellate court for non-constitutional matters) published issue 903 of its Jurisprudence Bulletin. The document compiles key legal theses established in recent court rulings, selected for their impact on the legal landscape. For the corporate and investment market, the main highlight is a new definition regarding the taxation applicable to real estate funds.

Income Tax on Operations Between Real Estate Funds

The First Panel of the STJ ruled on a core issue for structuring investments in the Brazilian real estate sector. The case was analyzed in Special Appeal (REsp) 2,211,684, originally reported by Justice Regina Helena Costa, with Justice Gurgel de Faria designated as the author of the final decision.

The focus of the ruling was on transactions known in the financial market as Funds of Funds (FOF). This modality occurs when a Real Estate Investment Fund (FII) acquires or trades shares of other real estate funds, rather than investing directly in physical properties.

By a majority vote, the STJ panel ruled that capital gains obtained by a Real Estate Investment Fund during the disposal (sale) or redemption of shares in another FII are indeed subject to Income Tax (IR). In this context, capital gain represents the positive difference between the acquisition cost of the shares and the amount received at the time of their sale or redemption.

    Market Relevance of the Precedent

Setting this thesis in the STJ Jurisprudence Bulletin brings greater predictability to fund managers and investors. By confirming the levy of Income Tax on capital gains in these specific FOF transactions, the court establishes a clear guideline to be observed in structuring and managing real estate fund portfolios.

Procedural Deadlines and the Public Defender’s Office

The second highlight of Bulletin 903 addresses a procedural issue ruled on by the Third Panel of the STJ. In a case processed under judicial secrecy, reported by Justice Nancy Andrighi, the justices unanimously defined a technical rule regarding the calculation of appeal deadlines.

The Panel decided that if the Public Defender’s Office is admitted to the proceedings while an appeal deadline is already running, this intervention does not change the initial start date of the timeframe nor restore elapsed days. However, the final deadline is extended. The end date is calculated considering the institution’s statutory right to double deadlines, counted from the original starting point, exactly as if the Public Defender’s Office had been acting since the publication of the decision.

Contudo, a data final do prazo (termo final) é estendida.

  • STJ Admits Lawsuit to Annul Foreign Arbitral Award

STJ Admits Lawsuit to Annul Foreign Arbitral Award

The Decision by the Superior Court of Justice

The Superior Court of Justice (STJ, Brazil’s high court for non-constitutional federal law) admitted a lawsuit in Brazil aimed at annulling a foreign arbitral award. The court plays a central role in validating international decisions in the country. This development represents a key point of attention for companies, founders, and foreign investors who rely on arbitration to resolve commercial disputes.

    Understanding Foreign Arbitral Awards

Arbitration is a private dispute resolution mechanism. Instead of taking a commercial dispute to the state courts, the parties entrust the decision to specialized arbitrators. When the seat of the proceeding is located outside Brazilian territory, the final ruling is classified as a foreign arbitral award.

Historically, the Brazilian judiciary’s focus regarding such rulings has centered on their recognition (homologação), meaning the formal authorization for them to take legal effect and be enforced in Brazil. Admitting a lawsuit that actively seeks to annul such an award before the STJ introduces a different dynamic, allowing the validity of an international decision to be challenged domestically.

    Impacts on Foreign Direct Investment

Predictability and legal certainty are essential for international capital flows. In foreign direct investment transactions, particularly those involving partners from China and the United States, contracts frequently designate foreign arbitration to ensure neutrality.

The news that the STJ admitted an annulment lawsuit in Brazil signals that national courts may, under certain conditions, review the validity of arbitration proceedings conducted abroad. For executives and legal counsel, this means selecting the arbitral seat and drafting dispute resolution clauses require thorough strategic analysis. The risk of parallel litigation or challenges in the country where assets are located must be assessed from the negotiation phase.

    Planning and Risk Mitigation

Structuring cross-border transactions demands close attention to developments in Brazilian case law. The STJ’s admission of the lawsuit reinforces that dispute resolution does not necessarily end with the arbitral award, as it may involve complex stages of recognition or challenge before courts in the destination country of the investments.

Multinational companies and investment funds must keep their governance policies and contracts up to date, understanding how Brazilian higher courts interpret the boundaries of domestic jurisdiction over international private decisions.

    Entendendo a sentença arbitral estrangeira

应用商店、互联网服务提供商以及CGI.br(巴西互联网指导委员会)将参与执行封禁。

Comsefaz(巴西各州及联邦区财政厅长全国委员会)的一项研究估计,2025年博彩活动从巴西家庭预算中抽走了625亿雷亚尔,但该结论遭到了ANJL(巴西国家博彩与彩票协会)的反驳。

  • MP 1.394/2026: Rules for the Shutdown of Betting Platforms

MP 1.394/2026: Rules for the Shutdown of Betting Platforms

Provisional Measure (MP) 1.394/2026, signed on September 25, establishes the shutdown of authorized sports betting and virtual gaming platforms in Brazil. The new regulation introduces a mandatory mechanism for refunding remaining account balances to users, directly impacting sector operators, financial institutions, and the advertising market.

Timeline for Shutdown and Balance Refunds

The federal government set a strict schedule for discontinuing services and returning funds to bettors. Estimates from the Secretariat of Prizes and Betting (SPA) indicate that approximately 23 million users held accounts with balances on these platforms, totaling roughly R$ 1.7 billion to be refunded.

    • October 5: Deadline for voluntary withdrawals directly through websites and mobile applications.
    • October 6: Platforms must go offline starting at 12:00 a.m. App stores, internet service providers, and the Brazilian Internet Steering Committee (CGI.br) will assist in enforcing access blocks.
    • October 7 and 8: Betting operators must report to banks the amounts held by users, identified by their CPF (individual taxpayer ID).
    • October 9 to 14: Financial institutions will process and distribute the refunds to bettors.
    • As of October 14: Caixa Econômica Federal (a federal state-owned bank) will intermediate payments in instances where commercial banks encounter impediments to complete refunds.

    Impacts on Advertising and Marketing

In addition to shutting down operations, MP 1.394/2026 prohibits advertising across the industry. Companies have until October 5 to take down all advertising materials, marketing campaigns, and brand displays tied to sponsorship contracts.

This rule significantly impacts the sports sector. Government figures indicate that betting platforms spent R$ 1.1 billion in 2025 on Brazil’s main football clubs, representing 36% of the marketing revenue generated by those teams.

    Economic Context and Tax Revenue

The operational ban is part of an economic package aimed at addressing household debt and compulsive virtual gambling. A study by the National Committee of State Finance Secretaries (Comsefaz) estimated that betting drained R$ 62.5 billion from Brazilian household budgets in 2025, a conclusion contested by the National Gaming and Lottery Association (ANJL).

The sector turned over approximately R$ 220 billion in Brazil during 2025, with daily transaction volume near R$ 600 million. From a fiscal standpoint, sector taxation yielded R$ 15.3 billion to the federal government since early 2025, funds deemed significant for meeting fiscal targets.

    Next Regulatory Steps

To retain permanent legal force, MP 1.394/2026 must be reviewed and approved by the Brazilian National Congress within the constitutional deadline. In the interim, companies across the betting ecosystem must promptly adapt their operations to comply with access blocking and contract termination mandates, mitigating liability risks.

然而,TJGO(戈亚斯州法院)此前驳回了精神损害赔偿判决。

主审法官适用了“同一法理适用同一规则”(where there is the same reason, the same law applies)的法律原则。

  • STJ Rules That Patent Infringement Entails Presumed Moral Damages

STJ Rules That Patent Infringement Entails Presumed Moral Damages

The Fourth Panel of the Superior Court of Justice (STJ, Brazil’s highest appellate court for non-constitutional federal matters) decided that proof of patent infringement allows for the recognition of presumed moral damages, also known in legal terms as in re ipsa damages. In practice, this means that the patent owner does not need to demonstrate concrete harm to its image, reputation, or market standing to be entitled to financial compensation.

    The context of the dispute

The case leading to the decision (AREsp 1.567.533) involved the unauthorized manufacture and sale of a copy of a grain cart, an agricultural machine. The original equipment was protected by a utility model patent. This type of patent is granted by the National Institute of Industrial Property (INPI, Brazil’s patent and trademark office) to protect improvements in the practical use or manufacturing of existing objects.

Following an expert report, the lower courts recognized the infringement (counterfeiting) and prohibited the manufacture and marketing of the copied product. However, the Court of Justice of Goiás (TJGO) had dismissed the claim for moral damages. The state appellate court held that compensation required concrete proof of injury to the plaintiff company’s honor and reputation, which had not been demonstrated in the case record.

The legal alignment between trademarks and patents

The dispute reached the STJ, where the company responsible for the copy argued that the infringement involved a patent, not a trademark. The defense asserted that trademarks are directly tied to corporate credibility and goodwill, whereas the primary purpose of a patent is to guarantee exclusivity of use and economic exploitation of an invention. For this reason, the infringing company argued that moral damages could not be presumed.

The reporting judge for the case, Designated Appellate Judge Luís Carlos Gambogi, acknowledged the different functions of the two legal instruments. However, he emphasized that both trademarks and patents are forms of industrial property and are governed by the same statutory framework in Brazil, the Industrial Property Law (Law No. 9,279/1996).

For the judge, it would not be reasonable to adopt an interpretation that recognizes presumed moral damages for trademark infringement but not for patent infringement, as both derive from Article 2 of the same statute. The reporting judge applied the legal principle that “where the same reason exists, the same law applies.”

    Security for industrial property

The decision of the Fourth Panel of the STJ concluded that counterfeiting inherently compromises the reputation, credibility, and prestige of the innovative company in the market. In the adjudicated case, evidence showed that one company manufactured the copy while another distributed, stored, and sold the product despite knowing of its unlawful origin.

This understanding reinforces protection for patent holders in Brazil. By establishing that mere proof of unauthorized use constitutes an actionable wrong subject to indemnification, the court eliminates the requirement to demonstrate that the unlawful conduct extended beyond immediate financial loss, providing greater legal certainty for innovation and business development in the country.
